Terms of Sale
Rules that govern the purchase and refund of a paid Gaugr subscription.

These Terms of Sale ("TOS") govern any subscription to a paid Gaugr plan purchased from gaugr.app. They form a contract between the publisher of Gaugr (the "Seller") and you, the natural or legal person subscribing (the "Customer"). By ticking the "I accept the Terms of Sale" checkbox at checkout, you acknowledge that you have read them and accept them without reservation.
No refunds — except in case of major downtime
Gaugr subscriptions are sold on a cycle basis (monthly or yearly) with no guarantee of pro-rated refund. Customers can cancel at any time from the billing portal and keep access until the end of the current cycle. A pro-rated refund for the affected cycle may be granted only in the event of "major downtime" of the Service, as defined in article 11. No other reason — change of mind, non-use, incompatibility resulting from a third-party change to Claude.ai, etc. — entitles the Customer to a refund.
1. Identification of the Seller
The publisher of Gaugr is BÉRAUD Ewan Jefferson, sole trader registered under SIREN 934 019 613, based in Strasbourg, France (APE code 4791A). Contact: contact@gaugr.app. Hosting: Hetzner Online GmbH, Industriestr. 25, 91710 Gunzenhausen, Germany.
2. Definitions
In these Terms of Sale, capitalized terms have the following meaning:
- "Service": the Gaugr browser extension, the gaugr.app companion web app, and any associated feature accessible via a valid Account.
- "Account": the Customer's personal space on gaugr.app, identified by an email + password or an OAuth provider.
- "Subscription": an open-ended contract automatically renewed at each Cycle (Pro monthly, Pro yearly, Team, Enterprise).
- "Cycle": the billing period of a Subscription (1 month or 12 months).
- "Major Downtime": unavailability of the Service as defined in article 11.
- "Consumer": a natural person acting for purposes outside their trade, business, craft or profession (EU Directive 2011/83 / French Consumer Code).
3. Purpose
These Terms of Sale define the conditions under which the Seller provides the Customer, remotely and against payment, with access to the Service under a Software-as-a-Service model.
4. Order and formation of the contract
Subscribing to a paid plan is done exclusively online from the /pricing page. The Customer selects the desired plan, is redirected to Stripe's secure payment platform, and completes the payment. The contract is formed upon Stripe's payment confirmation.
- Before payment, the Customer must expressly tick the "I have read and I accept the Terms of Sale" checkbox. Without this, payment cannot be initiated.
- A confirmation email summarizing the order, the price, the applicable VAT, and a reference to these Terms is sent to the Customer.
- The Customer is responsible for the accuracy of the information provided; the Seller cannot be held liable for input errors.
5. Price & VAT
Prices are displayed in euros (€) inclusive of tax on the /pricing page. The Seller reserves the right to change prices at any time; changes do not apply to Cycles already paid for. Applicable VAT is the one in force on the day of payment; for Customers domiciled outside France, VAT place-of-supply rules may alter the final amount.
6. Payment methods
Payment is processed online by Stripe: card (Visa, Mastercard, AmEx), Apple Pay or Google Pay. The Seller never has access to the Customer's full payment details. The Subscription auto-renews at each Cycle: the amount is charged automatically on each anniversary date until the Customer cancels.
7. Delivery
The Service is delivered immediately and electronically: Pro features are activated on the Customer's Account as soon as Stripe confirms payment. No physical shipment is involved.
8. Right of withdrawal — express waiver
In accordance with art. L.221-28, 13° of the French Consumer Code (transposing EU Directive 2011/83), the 14-day right of withdrawal does not apply to contracts for the supply of digital content not delivered on a tangible medium, whose performance has begun with the Consumer's prior express consent and express waiver of their right of withdrawal. By ticking the "I accept the Terms of Sale and waive my right of withdrawal" checkbox at checkout, the Consumer Customer consents to immediate performance and expressly waives their right of withdrawal.
9. Duration, cancellation, renewal
The Subscription is entered into for one Cycle and tacitly renewed for a new Cycle of identical length unless the Customer cancels. The Customer may cancel at any time, free of charge and without justification, from the Stripe billing portal linked to the Account. Cancellation takes effect at the end of the current Cycle: the Customer retains Pro access until that date, after which the Account automatically reverts to the free tier.
10. Refund policy
Except in cases of Major Downtime (art. 11), no refund is granted. In particular:
- No pro-rated refund of the unused portion of the Cycle in case of mid-cycle cancellation.
- No refund if the Customer has not used the Service during one or more Cycles.
- No refund in case of incompatibility arising from a change made by a third party (e.g. Anthropic, PBC) to the Claude.ai service.
- No refund if the Account is suspended or terminated for breach of the ToU, the Terms of Sale or Anthropic's terms.
- Exceptional goodwill refunds remain at the sole discretion of the Seller and create no enforceable precedent.
11. Major Downtime — eligibility for refund
"Major Downtime" means unavailability of the Service meeting, cumulatively, the three following criteria:
- Duration: continuous unavailability exceeding 24 consecutive hours OR monthly uptime below 95% (i.e. more than ~36 cumulative hours of unavailability over a calendar month).
- Attribution: the unavailability originates from the Gaugr Service itself (gaugr.app, license API, sync API) and not from a third party outside the Seller's control (Claude.ai, Chrome Web Store, payment provider, the Customer's ISP, the Customer's hardware).
- Impact: the Customer demonstrates, by any means (screenshots, support tickets opened at contact@gaugr.app during the affected period), that they effectively experienced the outage.
- If Major Downtime is confirmed, the Seller will refund a pro-rata of the Cycle corresponding to the duration of the observed unavailability, within 30 days of the Customer's written request.
12. Warranty & liability
The Service is provided "as is" as offered on the date of payment. The Seller uses best efforts to ensure continuity and security of the Service but does not guarantee 100% availability. The Seller's liability is limited to foreseeable direct damages and, in any event, capped at the total amount actually paid by the Customer for the current Cycle. Indirect damages (loss of data, loss of opportunity, loss of profit) are excluded. Nothing in these Terms limits the Seller's liability for willful misconduct, gross negligence, or breach of mandatory statutory obligations.
13. Intellectual property
The Service, its source code, trademarks, logos and interfaces are the exclusive property of the Seller or its licensors. The Customer receives a personal, non-exclusive, non-transferable right of use limited to the duration of their Subscription. Any reproduction, modification, redistribution or reverse engineering is prohibited. "Claude™", "Claude.ai™" and "Anthropic®" are trademarks of Anthropic, PBC and are used here for purely descriptive purposes (see /fair-use).
14. Personal data
The Seller collects and processes personal data strictly necessary to operate the Service and comply with its legal obligations. Full details (legal bases, recipients, retention periods, Customer rights under the GDPR) are set out in the Privacy Policy accessible from /privacy.
15. Changes to these Terms of Sale
The Seller may change these Terms at any time. The applicable version is the one in force on the day of payment, archived in the corresponding Stripe session metadata. In case of a material change affecting an ongoing Subscription, the Customer will be notified by email and may cancel free of charge at the end of the current Cycle.
16. Governing law, mediation & jurisdiction
These Terms of Sale are governed by French law. A Consumer Customer may use the consumer mediator indicated on gaugr.app/support free of charge. Failing amicable resolution, any dispute will be submitted to the competent courts of Strasbourg, subject to mandatory rules applicable to Consumers.
